Seeking an experienced and detail-oriented Corporate Paralegal to assist in all stages of corporate transactions and filings. A leading provider of software solutions focused on governance, risk management, compliance, audit, and environmental, social, and governance (ESG) practices.

Description

  • Create and maintain board and committee minute books, and director and officer files.
  • Manage the preparation and distribution of materials for Board of Directors and Committee meetings, including drafting agendas, meeting minutes, resolutions, consents, and related record keeping.
  • Oversee the maintenance of corporate governance documents, materials, and policies, in collaboration with legal counsel.
  • Prepare documentation related to corporate governance matters for both domestic and international subsidiaries.
  • Draft resolutions and minutes for stockholders, board of directors, and committee meetings for domestic and international entities.
  • Collaborate with the Associate General Counsel to prepare regulatory filings related to securities offerings.
  • Handle preparation, processing, and maintenance of incorporation documents, bylaws, state filings, annual reports, and proxy materials.
  • Assist in preparing documentation for corporate amendments, withdrawals, mergers, and dissolutions.
  • Support various legal matters related to mergers and acquisitions, real estate, equity, and insurance.
  • Maintain a global corporate records database and entity charts.
  • Organize and manage administrative and legal department files.
  • Conduct research and analysis on corporate governance issues; monitor new trends and best practices; track industry precedents; develop and maintain charters, policies, procedures, and guidelines; and keep internal knowledge-sharing resources up-to-date.
  • Manage all aspects of legal holds, including identifying records, sending hold notices, and ensuring compliance with document retention obligations.

Profile

  • 5-7 years of experience as a paralegal specializing in corporate matters.
  • Bachelor's degree in paralegal studies or a related field.
  • Certified Paralegal (CP) designation is a plus.
  • Excellent written and verbal communication skills.
  • Strong knowledge of corporate law and legal research techniques.
  • Ability to work independently, manage multiple tasks, and meet deadlines.
  • Proficiency in DocuSign, Adobe, and Microsoft 365.
  • Familiarity with corporate governance software is a plus.
  • Professional demeanor with a high level of discretion.
  • Highly organized, detail-oriented, and excited about learning new subject matters.
