Job description

Analyze federal income tax consequences of structural alternatives for implementing PE fund transactions. Min Req: Juris Doctor or LL.M. or foreign equivalent plus 60 months of experience in legal positions working on tax aspects of PE fund transactions. 60 months of experience must include: (i) Drafting, reviewing, and revising tax-related (including U.S. federal income tax-related) provisions of legal documents implementing PE fund transactions, such as purchase agreements, merger agreements, partnership agreements, and credit agreements; conducting legal research on U.S. federal income tax issues arising in connection with PE fund transactions, including merger and acquisition transactions involving partnerships, C-corporations and S-corporations; equity financing/investment transactions involving partnerships and C-corporations; debt financing, and refinancing and restructuring transactions; and proposing legal steps for implementing PE Fund transactions. (ii) Preparing tax-related documents ancillary to PE fund transactions, including tax withholding certificates and legal disclosures of PE fund transaction or investment tax consequences. Must be an attorney in good standing before the New York State Bar. The candidate must be available to work overtime and on weekends as needed to meet the demands of the complex PE fund transactions for clients in several different time zones.
