Transactions Associate Attorney Silicon Valley, San Francisco, or New York

Our client, a nationally-recognized AmLaw 50 firm, is seeking a Corporate Associate Attorney to join their Transactions Practice Group in their Silicon Valley, San Francisco, or New York office. This role offers a unique opportunity to work on high-profile matters in a collaborative and supportive environment.

Candidate Profile:

• JD from an ABA-approved law school with a strong academic record.


• Active Bar Admission in the jurisdiction of the selected office (or eligibility for timely admission), in good standing.


• 25 years of substantive experience in venture capital/early-stage financings, mergers and acquisitions (M&A), joint ventures, dispositions, commercial transactions, and general corporate matters(link removed)>
  
• Strong drafting and project management skills, with an ability to manage complex transactions effectively.


• Excellent writing and communication skills and a proactive, positive attitude toward client service and team collaboration.


• Experience interacting directly with clients and partners, with a proven ability to build strong professional relationships.

Key Responsibilities:

• Represent clients in venture capital financings, M&A transactions, private equity deals, and other commercial transactions.


• Handle emerging companies and venture capital (ECVC) financing, as well as M&A


• Provide general corporate counseling to publicly and privately held companies, private equity funds, entrepreneurs, and investors.


• Draft and negotiate sophisticated transaction documents, ensuring seamless execution and management of all deal stages.


• Collaborate with a dynamic and growing team to support the firms strategic objectives while maintaining a high standard of client service.
